Terms of Service
The agreement between your agency and WAYV for the use of Broq.
The short version: Broq is a tool for licensed brokerages. You own the data you put in and we act as your processor. The AI is assistive, so verify what matters. Fees are billed per agency with VAT where it applies, and these terms are governed by the laws of the UAE.

01Acceptance of terms
These Terms of Service govern your agency's access to and use of Broq, provided by WAYV. By creating an account or using the service, the person accepting agrees to these terms on behalf of their agency and confirms they are authorised to do so.
If you do not agree to these terms, do not use Broq.
02Definitions
A few terms appear throughout this agreement. Here is what they mean.
- Broq: the platform and the related services we provide.
- WAYV: the provider of Broq and the party you are contracting with.
- Agency: the customer organisation that uses Broq.
- Customer Data: the data your agency loads into or generates in Broq.
- AI Features: the assistive AI tools within Broq, such as drafting, summarising, and matching.
- Sub-processor: a vendor we engage to help us deliver the service.
03The service and eligibility
Broq is a business to business operating system for real estate agencies. It brings your contacts, listings, conversations, and deals into one workspace, with assistive AI to help your team move faster.
To use Broq you must be a licensed or lawfully operating brokerage, for example registered with RERA where that applies, be at least 18 years old, and be authorised to bind your agency. We may add to, change, or evolve the features over time as the product develops.
04Accounts and your agency
Each agency manages its own members and roles. Agency admins are responsible for who they invite to the workspace and for what those users do within it.
You must keep your credentials secure, provide accurate information, and tell us promptly of any unauthorised use of an account. You are responsible for the activity that happens under your accounts.
05Acceptable use
Use Broq lawfully and respect the rules of the platforms you connect to it.
- Comply with WhatsApp, Meta, and the terms of any other platform you connect.
- Do not send unlawful, deceptive, or unsolicited bulk messages.
- Do not upload data you have no right to use.
- Do not attempt to breach security or reverse engineer the service.
- Do not use Broq to infringe anyone's rights.
06Customer data and ownership
Your agency owns the data it puts into Broq, including contacts, listings, and conversations. We act as a processor of that data on your instructions, as described in our Privacy Policy.
We do not sell your data, and we do not use it to train foundation models. You can export your data at any time.
07AI features and disclaimers
Broq uses AI to assist with drafting, summarising, and matching. Output may contain errors and should be reviewed by a person before it is relied on or sent to a client.
Market figures and suggestions are provided for guidance and are offered as is. They are not legal, financial, or valuation advice.
08Third-party services
Broq integrates with services such as WhatsApp and Meta, Google, payment providers, and property portals. These integrations help Broq fit into the tools your agency already uses.
Your use of those integrations is also subject to each third party's own terms, and we are not responsible for their services. You are responsible for maintaining your own accounts with them and for keeping those accounts in good standing.
09Fees and billing
Plans are billed per agency on the cycle you select and renew automatically unless you cancel. UAE VAT is applied where required and shown on your invoices.
Fees are payable in advance. Late or failed payments may lead to suspension of the service. Except where the law requires otherwise, fees are non-refundable. We will give you notice before any price change takes effect.
10Intellectual property
WAYV owns Broq and all related software, design, and intellectual property. We grant your agency a limited, non-exclusive, non-transferable right to use the service during your subscription.
You keep your Customer Data. If you send us feedback or suggestions, we may use them to improve the product without obligation to you.
11Confidentiality
In using Broq, each party may learn confidential information of the other. Each party will protect the other's confidential information with reasonable care.
Each party will use the other's confidential information only to perform under these terms, and will not disclose it except to people who need it and are bound to keep it confidential, or where disclosure is legally required.
12Term, suspension, and termination
These terms run for as long as you use Broq. Either party may end the subscription on notice as described in your plan.
We may suspend or terminate the service for breach of these terms, non-payment, or unlawful use. On termination, you keep a reasonable window to export your data, after which we delete or anonymise it as set out in the Privacy Policy.
13Warranties and disclaimers
We provide Broq with reasonable care and skill. Beyond that, the service is provided as is and as available, without other warranties to the extent the law allows.
We do not warrant that the service will be uninterrupted or error free, or that AI output or market data will be accurate. You are responsible for reviewing what the service produces before you rely on it.
14Limitation of liability
To the extent permitted by law, neither party is liable to the other for indirect, incidental, or consequential losses, or for lost profits or lost data.
Our total liability for any claim is limited to the fees your agency paid for the service in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.
15Indemnification
Your agency will defend and indemnify WAYV against third-party claims arising from your misuse of Broq, your breach of these terms, or Customer Data you were not entitled to use or that breached someone's rights.
We will tell you promptly of any such claim and let you manage the defence reasonably, and we will cooperate with you in handling it.
16Governing law and disputes
These terms are governed by the laws of the United Arab Emirates. The parties will try to resolve any dispute in good faith first.
If that fails, the competent courts of Abu Dhabi will have jurisdiction, without affecting any mandatory consumer or data protection rights you may have.
17Changes to these terms
We may update these terms as the product and the law change. We will post the updated version with a new date and, for material changes, give notice through the product or by email.
If you keep using Broq after an update takes effect, you accept the new terms.
18General
A few general points round out this agreement.
- You may not assign these terms without our consent, while we may assign them to an affiliate or successor.
- If any provision is unenforceable, the rest of these terms still applies.
- Neither party is liable for delays caused by events beyond its reasonable control.
- These terms are the entire agreement between us on this subject.
- Notices may be sent through the product or to the contact details on file.
